Terms of Service

1. Acceptance of Terms

By creating an account on Payo (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users of Payo, including individuals and businesses based in Ghana and internationally.

2. Description of Service

Payo is an invoicing and business management platform that allows users to create invoices, track payments, manage clients, and access AI-powered features. Core invoicing features are provided free of charge. Premium features including AI invoice checking, AI payment reminders, and SMS notifications require the purchase of credits. Online invoice payments are processed via Paystack and are subject to a 1% platform fee.

3. Account Registration

To use Payo, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised use of your account
  • Ensuring your account information remains accurate and up to date

You must be at least 18 years old to create an account. By registering, you confirm that you meet this requirement.

4. Credits and Payments

Payo operates on a credit-based system for premium features:

  • Credits are purchased in advance and deducted as features are used
  • Credits do not expire once purchased
  • New accounts receive a one-time welcome credit of GH₵ 5.00
  • The minimum credit top-up amount is GH₵ 10.00
  • AI features currently cost GH₵ 0.50 per request
  • SMS reminders currently cost GH₵ 0.20 per message
  • Online invoice payments via Paystack are subject to a 1% platform fee

All payments are processed securely via Paystack. Payo does not store your card details. Credits are non-refundable except where required by applicable law.

5. Acceptable Use

You agree not to use Payo to:

  • Create fraudulent invoices or misrepresent transactions
  • Violate any applicable law or regulation in Ghana or internationally
  • Send unsolicited communications or spam to your clients
  • Attempt to gain unauthorised access to other users' accounts or data
  • Upload malicious code or interfere with the Service
  • Use the Service for any purpose that is unlawful or harmful

6. Your Data

You retain ownership of all data you input into Payo, including invoice data, client information, and business details. By using the Service, you grant Payo a limited licence to store, process, and display your data solely for the purpose of providing the Service to you. We do not sell your data to third parties. 7. Tax Compliance

Payo provides Ghana Revenue Authority-compliant tax calculations including VAT, NHIL, GETFund, and COVID Levy based on the information you provide. However, Payo does not provide tax advice. You are responsible for ensuring your invoices comply with all applicable tax laws and regulations. We recommend consulting a qualified accountant or tax professional for advice specific to your business.

8. Service Availability

We aim to provide reliable access to Payo at all times, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to notify users of planned maintenance in advance where possible.

9. Limitation of Liability

To the maximum extent permitted by law, Payo shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability to you for any claim arising from these Terms shall not exceed the amount you have paid to Payo in the twelve months preceding the claim.

10. Termination

You may close your account at any time by contacting us. We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination, your data will be retained for 30 days before deletion, during which time you may request an export of your data. Unused credits are non-refundable upon account closure.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Your continued use of Payo after changes are posted constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
